Facebook and Instagram; what now?

Facebook just cleared its final hurdle before acquiring popular photo-sharing service Instagram: a “fairness hearing” held by the California Department of Corporations in San Francisco Wednesday morning.

The hearing ended with the statement both companies wanted to hear: “the transaction appears just, fair and equitable.” (Facebook was already cleared to buy Instagram by the FTC, which officially closed the book on its investigation last week.)

But this wasn’t just a rubber stamp. The hearing, whose witnesses included Instagram founder and CEO Kevin Systrom, turned up quite a few nuggets of interesting information about Instagram and its sale. Such as:

•  No one else put in an official offer for the company. Despite reports that Twitter and Apple were both interested in buying the photo-sharing startup — hence Facebook’s haste in buying it at twice its valuation — Instagram’s chief confirmed that there was nothing else on the table, though other (unnamed) companies were interested.
•  Facebook was working on its own photo-sharing service when it asked to buy Instagram. That’s according to Facebook’s corporate development executive Amin Zoufonoun, a former Googler, who referred to the “magic” of Instagram as preferable to the social network’s internal offering.
•  Instagram doesn’t make a dime. Well, we kind of knew that — there’s no revenue stream. But Systrom confirmed it for the hearing. Asked how the app makes money, he responded: “that’s a great question. As of right now, we do not.” Instagram was operating at a loss of $2.7 million a year, he said.
•  Systrom never expected it to be a billion-dollar deal. Since the money Facebook offered was a mixture of cash and stock, and Facebook stock has sunk since the deal was announced, the purchase is now worth closer to $735 million. But Instagram’s founder isn’t fazed. He never believed in the deal valuation as reported by the media, he said, but he does believe in the long-term value of Facebook.

Now that all official hurdles have been cleared, the Facebook-Instagram deal could be closed as early as this week.  What do you think Facebook will do with Instagram now?

Online shopping is growing more and more popular these days.  The added convenience of shopping from the comfort on your own home in front of your pc is proving to be a major draw.  The increasing community of online shoppers and enthusiasts is proof that online shopping is a thriving business.

So how do we protect ourselves against these goons?  How do we ensure that the online site we are visiting is legit?  How do we protect ourselves from fraud?  Below are 10 simple ways we can avoid being a victim of online shopping scams:

  1. Look for the latest credit card password procedures, such as Verified by Visa. 
    In the last year, each major credit card issuer has come up with a secure system online that involves use of a password known only to the credit card owner. This presents to you the highest form of online security possible when shopping, and so you should look for sites that support these new standards. 

    2.  Check the return/refund, warranty, guarantee and other policies. 

    Take the time to ensure that you are dealing with a reputable, reliable merchant that will offer you the same shopping peace-of-mind that you would get elsewhere. If the online merchant doesn't post sufficient information to provide you a degree of comfort about such policies, consider taking your business elsewhere. 

    3.  Make sure that the checkout process is secure 
    Always make sure that you are using a site that provides full "encryption" over the credit card transaction, which helps to ensure that your credit card information can't be accessed while it is in transit. You can determine this by looking for a small "padlock" at the bottom of your browser screen, or by a message indicating that you are entering a secure site.

Take the time to look for the security and privacy policies that the online store might have posted and read them, since this will give you more comfort that you are shopping with a site that will carefully guard your credit card and personal information.

    If you are dealing with an online store, but are unsure whether they are reliable and credible, do a search for them on the Internet, to see if other consumers have expressed concern or have had positive or negative experiences. 

    6.  Understand the "safe-shopping" policies established by the issuer of your credit card 
    Take the time to understand the guarantees that your card-issuer offers with respect to shopping online. You will likely find that even if you are subjected to an online fraud, you will not be liable for any loss greater than $50, which should put your mind to rest. 

    7.  Shop around 
    Often what might seem to you to be a bargain might not be, once you factor in other costs, or if you don't consider that there might be other online stores offering the same product or service at a lower cost. Take the time to look at alternatives. 

    8.  Beware of hidden shipping, duty and other costs 

    Many of those who shop online are surprised by the hidden charges that were not well-documented on the site. Make sure you understand all the potential charges before committing to a purchase, and if something seems unclear -- ask! Look for sites that clearly post such charges as part of the checkout process, or post the information elsewhere on their site. 

    9.  Keep receipts and other documentation 

    Make sure you print out a copy of the receipt once you've finished the purchase. In addition, if the online store offers to send you a copy of the receipt by e-mail, take advantage of this option. 

    10.  Treat your cash and or credit card like a friend 
    Be vigilant.  A friend looks after his friend, so look after your finances as you would look after your best friend.  Don’t get easily blinded by promises of unbelievable discounts and free shipment. 

The main thing about online shopping safety is that it should solely and always be our own priority.  We should exercise extreme caution when going through each and every transaction.  Vigilance is the key.
